Northeastern Pennsylvania Industrial Resource Center, Inc. is referred to as “The Company”, “Ourselves”, “We” and “Us”, and the terms “Party”, “Parties”, or “Us”, refer to both or to either of the Client and ourselves. Any pronoun shall be construed to include the male, female, or neuter pronouns as well as the singular or plural. The term “including” does not limit the generality or scope of the term or terms that precede it.


Privacy Statement

We are committed to protecting the privacy of your personal information. We do not compile or keep any information as to you or your use of the site other than information we ask you to provide to us. Information related to the identity, business affiliations, location, etc. of the Client is not posted, marketed, or sold, but may be shared with our attorneys, accountants, advisers, and public funding sources. We will not sell or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by this Company will only be in connection with the provision of agreed services and products. Within the Company only authorized employees use any such information collected from individual customers and they do so only on a need to know basis.


Information posted on the Reshore2PA webpage is easily accessible to people throughout the world that we do not control in any way. We have no responsibility for the use or misuse of proprietary or any other information posted on the webpage by or on behalf of any person whatever. Information you provide to us, including information about proprietary products or technology, may be posted by us on this website, and, once posted, you may have no right to restrict its use. Client should obtain and rely on its own legal counsel concerning intellectual property, confidentiality, and other legal matters, and we do not provide any legal or other advice to you. You, therefore will indemnify, defend and hold us harmless from any loss or harm, including attorneys’ fees, arising from or related to information you provide to us for posting.


With respect to data protection, we constantly review our systems and data to ensure the best possible service to our customers. In the event we discover any unauthorized actions against computer systems and data, we will investigate any such actions with a view to prosecuting and/or taking civil proceedings to recover damages against those responsible. You will however indemnify and hold us harmless from any loss or harm incurred by you or by your Affiliate at any time related to information you provided to us for any purpose.


Confidentiality of Client Records

Client records which are provided to us from time to time which are marked as “Confidential” or as “Not to be posted” are regarded as confidential and therefore will not be divulged to any third party, other than our manufacturer/supplier(s) and if legally required to do so to the appropriate authorities. Clients have the right to request sight of, and copies of any and all Client Records we keep, on the proviso that we are given reasonable notice of such a request. Clients are requested to retain copies of any literature issued in relation to the provision of our services. Where appropriate, we shall issue to Client appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties.


Your License to Company

As to any material or information that (i) you post to the website, or (ii) is not marked “Confidential” or “Not to be Posted” when you provide it to us, you hereby grant Company and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any electronic media. You grant Company and its affiliates and sub-licensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you submit; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Company or its affiliates for all claims arising from content you supply. Company has the right but not the obligation to monitor and edit or remove any activity or content. The information on this web site is provided on an “as is” basis. To the fullest extent permitted by law, this Company:

This Company does not however exclude liability for death or personal injury caused by its negligence. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.

We do not warrant that descriptions of products, services or other content of this site is accurate, complete, reliable, current, or error-free. Reshore2PA provides links to other sites over which we have no control. We are not responsible for the availability of such external sites or resources, do not endorse, and are not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources.


Trademark and Copyright Notice

Company’s trademarks, including its rights in Reshore2PA, its copyright and other relevant intellectual property rights exist on all text relating to the Company’s services and the full content of this website.



Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.


Applicable Law / Exclusive Jurisdiction

This Agreement is to be construed under the laws of the Commonwealth of Pennsylvania of the United States of America, without regarding its conflict of law principles. The Court of Common Pleas of Luzerne County, Pennsylvania, and the United States District Court for the Middle District of Pennsylvania shall have exclusive jurisdiction of all disputes arising under or out of this Agreement.


Other Terms

We may modify these terms and conditions as posted on the site at any time and you will then be bound by them as modified. If any of these terms or conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
